The acquisition, announced on 24 June 2026, positions Ballard as a fully integrated hydrogen ecosystem provider and is expected to accelerate growth across UK and international markets.

Deal Structure and Financial Details

Ballard has paid £275 million upfront for the acquisition, with an additional performance-based earn-out of up to £27.5 million if GeoPura hits certain financial milestones post-completion. The total enterprise value, including GeoPura's net debt and excluding contingent consideration, stands at £301.1 million. The transaction was triggered by chairman Lord Richard Harrington of Watford, who will step down as GeoPura chairman and join the Ballard board alongside GeoPura CEO and founder Andrew Cunningham.

GeoPura's Growth and Operations

Founded in 2019, GeoPura has emerged as one of Britain's foremost clean energy companies, specializing in Hydrogen Power Units (HPUs) that use green hydrogen to deliver zero-emission electricity as a direct replacement for diesel generators. The company, headquartered at Siemens Energy in Newcastle, has been mass-producing HPUs with partner Siemens Energy in Byker, Newcastle. It employs around 200 people and operates hubs in Sheffield and Nottingham, with manufacturing in Newcastle and hydrogen production and logistics infrastructure in the Midlands.

GeoPura has raised almost £200 million to date, expanding from a startup to an enterprise serving clients across the UK and Europe. Its hydrogen power systems are deployed by the Ministry of Defence, National Highways, Balfour Beatty, BAM, the BBC, Equinix, and major infrastructure, construction, live event, and data centre projects.
