Ovo Energy has commenced legal proceedings against telecommunications provider TalkTalk, centering on a failed broadband customer transfer deal from 2022. This development intensifies the financial pressures confronting both companies as they navigate significant operational hurdles.

Details of the Disputed 2022 Agreement

The claim specifically involves a 2022 arrangement where Bristol-based Ovo Energy sold a telecoms business to TalkTalk. This telecoms unit was originally acquired by Ovo through its takeover of SSE Energy Services. As part of this transaction, approximately 135,000 broadband customers were transferred to TalkTalk.

Under the agreed terms, TalkTalk provided an initial upfront payment and committed to additional payments contingent upon meeting specific performance targets. However, the deal unraveled when a substantial number of customers departed the service, significantly diminishing the overall value of the transaction.

Financial Strains and Legal Escalation

Following the customer exodus, TalkTalk withheld the outstanding payment, prompting Ovo Energy to pursue legal recourse through the courts. This lawsuit emerges during a particularly sensitive period for Ovo, which is actively seeking to strengthen its financial position through a £300 million fundraising initiative. Simultaneously, the company is exploring a potential sale of its core business.

Ovo Energy, serving around four million customers, has faced increased scrutiny after failing to meet stricter financial resilience standards imposed by regulator Ofgem in the aftermath of the 2022 energy crisis. To manage these challenges, Ovo has enlisted investment bankers at Rothschild to oversee strategic options, which include securing new investment or an outright sale.

Cost-Cutting Measures and Financial Performance

In response to financial difficulties, Ovo has implemented a cost-cutting program aimed at saving tens of millions of pounds. The firm reported losses of £135 million in 2024. Notably, in the same year, Ovo paid £27 million to a company owned by its founder, Stephen Fitzpatrick, related to a longstanding brand licensing arrangement. This licensing agreement was later bought out in a £150 million deal.

TalkTalk's Financial Challenges and Strategic Review

TalkTalk is also grappling with considerable financial pressures, including approximately £1.4 billion in debt, rising interest costs, and ongoing losses. These issues have necessitated repeated emergency funding from shareholders, including executive chairman Charles Dunstone.

In November 2025, TalkTalk Group announced it would initiate a formal process to explore new ownership structures, following the separation of its consumer and PXC businesses from the wider group. The company has engaged PJT Partners to advise on strategic options, with discussions ongoing. Potential outcomes range from an outright sale of the entire group to the disposal of individual divisions.
