Unilever in Advanced £11.9bn Merger Talks for Food Division with McCormick
Unilever has announced it is in advanced discussions to combine its food division with US competitor McCormick & Company in a transaction valued at around £11.9 billion (15.7 billion US dollars). The consumer goods giant informed investors that late-stage negotiations are underway, potentially leading to a major restructuring of its portfolio.
Details of the Potential Deal
Any agreement is expected to involve folding Unilever's food arm into McCormick for approximately £11.9 billion in upfront cash and equity. This would result in Unilever and its shareholders retaining a 65% stake in the combined entity once the transaction is completed. Unilever indicated that a deal could potentially be concluded imminently, though it cautioned that there is no guarantee of a sale.
The merger would include Unilever's famous food brands such as Hellmann's, Colman's, and Marmite. McCormick & Company, known for products like Cholula hot sauce and French's mustard, brings a strong portfolio of spices and seasoning labels to the table.
Strategic Shifts and Recent Moves
This potential deal represents a substantial shake-up for Unilever, which has been streamlining its operations. Offloading the food division would leave the company focused on prominent beauty, personal care, and household labels such as Dove, Radox, Vaseline, and Persil. Beauty and wellbeing products have been performing particularly strongly in recent months, according to its most recent financial results.
In recent years, Unilever has made several strategic divestments and acquisitions. Last year, the group demerged its ice cream operation to establish the Magnum Ice Cream Company, which was listed with a primary flotation in Amsterdam and secondary listings in New York and the UK. The company has also divested food brands including the snacking business Graze and plant-based brand The Vegetarian Butcher.
Conversely, Unilever has been actively expanding its personal care division over the past year through acquisitions of rapidly growing brands like Wild and Dr Squatch.
